Terms of Service

These terms explain how merchants may use Promocodes to issue, manage, and redeem promo codes through our dashboard, API, webhooks, and claim links.

1. Agreement to these terms

These Terms of Service are an agreement between you and Promocodes Labs Inc. They apply when you create an account, access, or use Promocodes, including our dashboard, APIs, claim links, webhooks, documentation, and related services.

We refer to those products and services together as the Service. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these terms.

2. The service

Promocodes is a multi-tenant SaaS platform for mobile-app builders. It helps merchants issue, manage, and redeem promo codes through an HTTP API, making promo code infrastructure work more like Stripe does for payments.

The Service may include campaign tools, API access, organization and team management, analytics, webhooks, claim links, subscription billing, and related features. We may improve, add, remove, or change features as the product evolves.

3. Accounts and eligibility

Promocodes currently supports Google-only sign-in. You must provide accurate account information and keep your Google account secure. You must be at least 18 years old, or the age of majority where you live, to use the Service.

Organizations may invite team members and assign member roles. Organization owners and admins are responsible for activity by their members and invited users, including permission choices and access to campaigns, API keys, billing, and settings.

You are responsible for credentials, sessions, and devices used to access your account. Tell us promptly if you believe account access has been compromised.

4. API keys and usage limits

API keys authenticate redemption calls and other API activity. You must keep API keys secret, store them securely, and rotate them if they are exposed or compromised. You are responsible for calls made with your keys.

We may enforce rate limits, quota limits, and plan-tier limits to protect the Service and keep usage fair. Limits may apply to redemption calls, claim links, webhooks, organizations, projects, campaigns, seats, or other features.

We may make non-breaking API behavior changes from time to time. For breaking API changes, we will provide reasonable notice where practicable and may use API versioning or migration windows.

5. Acceptable use

You may not use the Service to:

  • run unlawful, fraudulent, deceptive, or misleading promotions;
  • abuse, overload, disrupt, or attempt to bypass the Service, including rate limits, quota limits, or plan-tier restrictions;
  • reverse engineer, scrape, probe, or test the Service except as allowed by law or a written agreement with us;
  • send spam, unwanted messages, or unlawful marketing through claim links or related features; or
  • violate laws that apply to your promotions, marketing, advertising, consumer protection, privacy, or electronic communications.

6. Your content and end-user data

As between you and Promocodes, you own your promo codes, campaigns, redemption data, configuration, and end-user email addresses captured through claim links. We call this your customer content.

You grant us a limited license to host, copy, process, transmit, and display customer content only as needed to provide, secure, support, and improve the Service.

You are responsible for your relationship with your end users, including having a valid legal basis or consent for collecting and using their email addresses, giving required notices, and honoring requests from end users about their data.

7. Plans, billing, and renewals

Promocodes offers free and paid subscription tiers. Paid plans are billed in advance on a recurring subscription basis and automatically renew until cancelled. You authorize us and our payment processor to charge payment methods associated with your account.

You may cancel a paid plan, and cancellation takes effect at the end of the current billing period. Downgrades may reduce limits or features and usually take effect in the next billing cycle. Fees are exclusive of taxes and are non-refundable except where required by law.

If your usage exceeds plan limits, we may block additional usage, require an upgrade, charge agreed overage fees, or apply other limit handling described in the dashboard or order flow. We may change plan prices with advance notice.

8. Intellectual property and feedback

Promocodes Labs Inc. and its licensors own the Service, including the software, design, documentation, APIs, trademarks, and other technology we provide. These terms do not transfer ownership of the Service to you.

If you send us feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

9. Third-party services

The Service may depend on third-party services, including Google sign-in, payment processors, infrastructure providers, analytics tools, email providers, and other vendors.

Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party services, but we work to choose vendors that support the security and reliability of the Service.

10. Suspension and termination

We may suspend or terminate access to the Service if you breach these terms, create a security risk, abuse the Service, fail to pay amounts due, or use the Service in a way that could harm us, our users, or third parties. We will provide notice where practicable.

You may delete your account or stop using the Service at any time. After termination, we may provide a reasonable window to export available customer content, then delete or retain data according to our Privacy Policy, legal obligations, and backup practices.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMOCODES LABS INC. DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or available at all times, or that promo code campaigns will achieve any particular business result.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMOCODES LABS INC. WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR SUBSTITUTE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMOCODES LABS INC.'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE FEES YOU PAID TO PROMOCODES LABS INC. FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You will defend, indemnify, and hold harmless Promocodes Labs Inc. from claims, damages, liabilities, losses, and expenses, including reasonable attorneys' fees, arising from your customer content, promo code campaigns, promotions, marketing practices, end-user claims, or breach of these terms.

14. Changes to these terms

We may update these terms from time to time. If we make material changes, we will notify you by email, dashboard notice, or another reasonable method and provide an effective date.

Your continued use of the Service after updated terms take effect means you accept the updated terms. If you do not agree, you must stop using the Service before the updated terms become effective.

15. Governing law and disputes
